Our corporate team have advised on the acquisition of Totally Wicked Group, the UK-based vaping retailer, by Wittyace UK Holding Limited part of Hong Kong-based Wittyace Holdings. The transaction completed in summer 2025.
The deal, which was led by Dacheng Dentons in Beijing, appointed our team as co-counsel to provide specialist UK transactional and regulatory support.
Our team advised on;
- Transactional support services – including full due diligence and warranty and indemnity (W&I) insurance advice.
- Deal structuring – advising on the closure process and the interface between deal terms and W&I insurance.
- Regulatory matters – including National Security and Investment Act (NSIA) notifications and UK competition law considerations.
The acquisition positions Totally Wicked for further growth in the UK and European markets, with a strengthened focus on refillable vaping products ahead of the UK government’s forthcoming ban on disposable vapes.
